Terms of use
These terms explain StreetUpper’s role, the responsibilities of members, and the limits of reviews performed before publication.

StreetUpper provides a digital space to present opportunities, discover potential collaborators, and communicate. It is not a bank, investment firm, financial adviser, broker, law firm, or party to agreements between users.
Publication review
Review concerns compliance with platform content rules. Publication, a review label, or identity verification is not certification, approval, investment advice, or a guarantee of legality, viability, reliability, return, or success.
Member responsibility
Members are responsible for their information and must conduct their own legal, financial, tax, technical, and commercial due diligence before entering an agreement.
Intellectual and industrial property
Members retain any intellectual and industrial property rights they hold in their original content. By publishing, they grant StreetUpper a non-exclusive, royalty-free licence to host, technically reproduce, display, and share it only as needed to operate and promote the listing and platform. Posting does not create exclusive rights in a general idea, business concept, method, or commercial plan, and StreetUpper’s timestamp is a technical record rather than proof of ownership or registration. Members must have the right to publish their content and should not disclose confidential information, trade secrets, or patentable technical details before obtaining professional advice and considering protection; public disclosure may affect patentability. Deletion stops future display by StreetUpper, subject to backups, legal retention duties, and copies already shared externally.
Deals and records
Messages, Deal Rooms, versions of terms, and recorded acceptances help organise discussions. They do not replace a signed contract and do not constitute payment, escrow, or legal services.
Prohibited content
Fraud, false statements, unlawful financing, guaranteed returns, pyramid schemes, rights violations, and activities lacking required licences are prohibited.
Protected public identity
The default public appearance uses a unique member code. A member may choose a reviewed public name or professional brand, which must not mislead, impersonate another person, or infringe rights. Protected appearance does not permit false information to StreetUpper and does not replace lawful identification before a formal contract or transaction.
Communities and collective causes
Anyone publishing for a group, community, or organisation confirms authority to represent it. A listing does not legally establish an entity. StreetUpper helps locate members, sponsors, specialists, and institutional partners but does not collect, hold, or manage money for the group. Political or electoral funding is prohibited.
Account responsibility, versions, and contact requests
Every personal or organisation account must have a real responsible person. An organisation account may be operated only by an authorised representative; impersonation and undeclared operation for a third party are prohibited. Small editorial corrections are recorded and material changes require renewed review. Accepted opportunity conversations begin in an exploration stage. Contact details, social handles, external links and payment identifiers are blocked there. A Deal Room opens only after separate confirmation by both sides, after which the exploration chat becomes read-only.
Deal protection and non-circumvention
By accepting a Deal Room version, participants acknowledge that the introduction originated through StreetUpper. Any substantially related agreement completed within 18 months of the last recorded communication must be declared under its Deal ID, including agreements completed through a related person or entity or with modified names, amounts, percentages, structures, or payment methods where the essential economic purpose remains the same. External meetings, professional review, signature, or lawful payment are not prohibited; concealing a completed protected transaction to avoid the applicable fee is circumvention. Where circumvention is proven, the normal fee, an additional contractual charge equal to that fee, and reasonable documented investigation or enforcement costs may become due, subject to applicable law. Accounts may also be suspended or closed.
Future review services
Any future paid professional assessment will launch only with a separate scope, criteria, fee, and specific terms. It is not currently available.
